In an article on ERP Software Advice, Derek Singleton offers 9 Key Points to Negotiate in a SaaS Agreement. I have preached and preached about the advantages and disadvantages of doing law office computing in the cloud. I am still wary, for many of the reasons in Singleton's article. This is a great starting place for lawyers negotiating their own SaaS agreements, and a good starting place to increase your knowledge in case you have to negotiate one for your firm or for a client. I would emphasize the service level portion of the agreement (for mission critical stuff like documents and billing, be very careful), and the backup and data export provisions. I will insist on being able to back up my data locally, and making certain that, if I cancel the contract, my data will be in usable form. If the vendor balks at doing this, run.
